Terms of Service

1. Agreement

These Terms govern your use of MassageDeskAI (the "Service"), provided by Nearli LLC, an Illinois limited liability company ("we", "us"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and the business you represent ("you").

2. The Service

The Service helps massage businesses manage staff rotation, bookings, rooms, checkout, tips and daily reports, and may include an AI phone receptionist and text messaging. Features may change over time. The public demo is provided for evaluation only and stores data in your browser.

3. Accounts

You must provide accurate information and keep your login details secure. You are responsible for activity under your account, including activity by staff you give access to. Tell us promptly if you believe your account has been used without permission.

4. Your data and responsibilities

• You own the data you put into the Service. You give us permission to host and process it only to provide and improve the Service, as described in our Privacy Policy.
• You are responsible for having the right to collect and use the customer and staff information you enter.
• If you use call recording, the AI phone receptionist or text messages, you are responsible for giving any notices and obtaining any consents required by law, including laws on call recording and text messaging.
• You are responsible for your own tax, payroll, tip and accounting decisions. Reports from the Service are tools to help you, not tax or legal advice.

5. AI features

The AI phone receptionist uses automated speech and language technology and may misunderstand callers or make mistakes. You should review bookings it creates and keep your prices, hours and policies in the Service up to date. We are not responsible for losses caused by AI answers that rely on information you entered or failed to update.

6. Fees and billing

Paid plans are billed in advance on a recurring basis at the price shown when you subscribe. Free trials end on the date shown at signup. You can cancel at any time; cancellation takes effect at the end of the current billing period, and fees already paid are not refunded except where required by law. We will give at least 30 days' notice before changing the price of an existing plan.

7. Acceptable use

You agree not to use the Service to break the law, send spam or unsolicited messages, harass anyone, infringe others' rights, interfere with the Service or its security, or try to access another business's data.

8. Availability and support

We work to keep the Service available and your data backed up, but we do not guarantee that it will be uninterrupted or error-free. We may perform maintenance and will try to schedule it outside common business hours.

9. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or end your access if you materially breach these Terms or fail to pay, after notice where reasonable. After closure, you may request an export of your data within 30 days.

10. Disclaimers

Except as expressly stated in these Terms, the Service is provided "as is" and "as available", without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose and non-infringement, to the extent permitted by law.

11. Limitation of liability

To the extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months before the claim.

12. Changes to these Terms

We may update these Terms. If we make material changes, we will notify you by email or in the app before they take effect. Continuing to use the Service after that means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of laws rules. Disputes will be heard in the state or federal courts located in Illinois.
